These Terms of Use (“Terms”) govern your access to and use of the websites, online services, and other digital platforms provided by KARMA Cannabis™ (“KARMA,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

• You agree that your content will not be unlawful, defamatory, obscene, infringing, or otherwise objectionable.

THE SERVICES AND ALL CONTENT, PRODUCTS, AND FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, KARMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT

• ANY WARRANTIES ARISING OUT OF THE COURSE OF DEALING OR USAGE OF TRADE

• ANY WARRANTIES THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED

YOUR USE OF THE SERVICES AND PRODUCTS IS AT YOUR SOLE RISK.

 

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:

• KARMA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR PRODUCTS.

• IN NO EVENT SHALL THE TOTAL LIABILITY OF KARMA TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES OR PRODUCTS EXCEED THE AMOUNT YOU PAID TO KARMA FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, IF ANY.

Some jurisdictions do not allow limitations of liability, so some of the above limitations may not apply to you.

 

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless KARMA and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to:

• Your use of the Services or products

• Your violation of these Terms or any applicable law

• Your violation of any right of another party, including intellectual property rights

 

14. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and your use of the Services are governed by the laws of the State of Colorado without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in [County, State], and you consent to the exclusive jurisdiction and venue of such courts.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
